1. Acceptance of Terms

Welcome to MathKnights. These Terms of Service ("Terms") form a binding agreement between you and Nexplay AI LLC ("MathKnights," "we," "us," or "our") governing your access to and use of the MathKnights website, applications, and related services (together, the "Service").

By creating an account, allowing a child to use a profile under your account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Children's Privacy Notice. If you do not agree, do not use the Service.

2. The MathKnights Service

MathKnights is an educational math practice platform designed for families. The Service allows a parent or legal guardian to create an account and set up one or more child profiles ("Knights") that play math quests, answer practice questions, and track progress over time.

The features available to you depend on your plan (Basic or Premium Family) and may change over time. We may add, remove, or modify features at our discretion.

3. Eligibility & Accounts

3.1 Who can hold an account

To create a MathKnights account, you must be at least 18 years old and the parent or legal guardian of any child whose profile you create. By signing up, you represent that you meet these requirements.

3.2 Account security

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account, including activity by your Knights. Notify us immediately at support@mathknights.com if you suspect unauthorized access.

3.3 Accuracy of information

You agree to provide accurate information when registering and to keep your contact email up to date so we can send important notices, billing information, and progress reports.

4. Child Profiles ("Knights")

You may create profiles for your own children or children for whom you are the legal guardian. Knight profiles use a display-only "knight name" (which need not be the child's real name) and a 4-digit PIN. We do not require — and ask you not to provide — a child's real name, email address, phone number, photograph, or other contact information.

You are solely responsible for supervising your child's use of the Service and for all activity occurring on Knight profiles under your account. For details on how children's information is handled, see our Children's Privacy Notice.

5. Subscriptions, Billing & Refunds

5.1 Plans

MathKnights offers a free Basic plan and a paid Premium Family subscription. Current pricing and features are shown at sign-up. We may change pricing for future billing periods with reasonable notice.

5.2 Payment

Premium subscriptions are billed in advance through our third-party payment processor. Card data is handled by the processor and does not touch MathKnights servers. By subscribing, you authorize recurring charges for the term you selected (e.g., monthly or annual) until you cancel.

5.3 Auto-renewal & cancellation

Subscriptions automatically renew at the end of each term unless you cancel before renewal. You may cancel at any time from your parent dashboard or by contacting support@mathknights.com. Cancellation takes effect at the end of the current paid term; you will retain Premium access until then.

5.4 Refunds

Except where required by law, payments are non-refundable. If you believe you were charged in error, contact us within 30 days and we will review the request in good faith.

6. Acceptable Use

When using the Service, you and your Knights agree not to:

  • Use the Service for anything other than personal, family, educational use (unless you have a separate school or district plan);
  • Share account credentials outside your household;
  • Reverse engineer, scrape, or attempt to extract source code or non-public APIs;
  • Upload content that is unlawful, harassing, obscene, or infringes another's rights;
  • Interfere with the Service's operation, security, or other users' access;
  • Use the Service to develop a competing product or to train machine-learning models without our written permission.

7. User Content & Question Banks

The Service may allow you to create or import custom question banks and other content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant MathKnights a worldwide, non-exclusive, royalty-free license to host, store, display, and process that content solely for the purpose of providing the Service to you and your Knights.

You represent that you have the rights necessary to grant this license and that your User Content does not violate any law or third-party rights.

8. Intellectual Property

MathKnights, the MathKnights logo, the knight artwork, the question bank we provide, and all software, designs, and content of the Service are owned by MathKnights or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, family, educational use in accordance with these Terms. No other rights are granted.

9. Third-Party Services

We rely on third-party providers (such as a payment processor, email delivery service, and hosting provider) to operate the Service. We are not responsible for third-party services or for content or links that point to sites we do not control. Their terms and privacy practices apply when you interact with them.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, if your payment is overdue, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends and we may delete your account data in accordance with our Privacy Policy.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, MathKnights disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce any particular educational outcome. MathKnights is a practice tool, not a substitute for a teacher, tutor, or curriculum.

12. Limitation of Liability

To the maximum extent permitted by law, MathKnights and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid MathKnights in the twelve months preceding the claim or (b) one hundred U.S. dollars (US$100).

13. Indemnification

You agree to defend, indemnify, and hold harmless MathKnights from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party right.

14. Disputes — Informal Resolution & Binding Arbitration

Please read this section carefully — it affects your legal rights. It requires you and Nexplay AI LLC to resolve most disputes through binding individual arbitration rather than in court, and waives the right to participate in class actions. You have the right to opt out within 30 days of creating your account (see Section 14.5).

14.1 Informal resolution first

Before either party starts an arbitration, the parties agree to try to resolve the dispute informally. You may send written notice describing the dispute and the relief you are seeking to support@mathknights.com or to Nexplay AI LLC at the address in Section 16. We will do the same if we have a claim against you. The parties will negotiate in good faith for 60 days from receipt of the notice before either party may begin arbitration.

14.2 Binding arbitration

Except for the carve-outs in Section 14.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your account ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted in Broward County, Florida, or, at your election, by telephone or video conference. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class action waiver

You and Nexplay AI LLC agree that any Dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate the claims of multiple parties or preside over any form of class or representative proceeding. If this class action waiver is found unenforceable, then the entirety of this Section 14 will be null and void as to the affected Dispute, but will remain in effect for all other Disputes.

14.4 Exceptions

This arbitration agreement does not apply to:

  • (a) actions brought in small claims court in Broward County, Florida, so long as the action remains in that court and proceeds on an individual basis; and
  • (b) claims for injunctive or equitable relief relating to intellectual property, unauthorized access to or use of the Service, or violation of Section 6 (Acceptable Use), which either party may bring in court.

14.5 30-day right to opt out

You may opt out of this arbitration agreement by sending written notice to support@mathknights.com within 30 days of first creating your MathKnights account. Your notice must include your full name, the email address on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms, and we will not retaliate against you for opting out.

14.6 Governing law; venue for non-arbitrable claims

These Terms and any Dispute are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. For any claim not subject to arbitration — or if a court finds this arbitration agreement unenforceable — you and Nexplay AI LLC submit to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, and waive any objection to that venue.

14.7 Severability

If any portion of this Section 14 (other than the class action waiver in Section 14.3, which is governed by its own terms) is found invalid or unenforceable, the remainder of this Section 14 will continue in full force and effect.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on your account) or by a notice in the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
